この利用規約（以下「本規約」）は、Prizlune（以下「当方」）が提供する公式サイト（prizlune.com）、会員サイト My Prizlune（account.prizlune.com）およびソフトウェア製品（以下あわせて「本サービス」）の利用条件を定めるものです。本サービスを利用した時点、または製品を購入した時点で、本規約に同意したものとみなします。
1. アカウント
- 製品の購入、ライセンスの有効化、体験版の利用には、Prizlune アカウントが必要です。
- アカウントは本人のみが利用でき、第三者に貸与・譲渡・共有することはできません。
- 登録するメールアドレスは、本人が受信できる正確なものとしてください。ログイン情報の管理は利用者の責任とします。
2. 購入と支払い
- 価格は米ドル建てで、税抜きで表示しています。お住まいの国によっては、購入時に税が加算されます。
- 支払いは Stripe の決済・販売代行サービスを通じて行います。お住まいの国によっては Stripe の関連会社である Link, LLC が販売者となり、その条件もあわせて適用されます。
- 購入した製品は、購入に使ったアカウントに登録されます。
3. 使用許諾
- 当方は、製品を購入した利用者に対し、本人が自身のコンピューターで製品を使用するための、非独占的で譲渡できない権利を許諾します。製品の著作権その他の権利は当方に帰属し、販売するのは使用する権利です。
- 製品はプラグインの ACTIVATE からアカウントで有効にして使用します。ライセンスはコンピューターごとに発行されます。
- 短期間に多数のコンピューターで有効化されるなど、共有が疑われる場合、当方は確認のご連絡や有効化の制限を行うことがあります。
- 製品を使って制作した楽曲や音声は、商用・非商用を問わず自由に利用できます。
4. 体験版
体験版は、1つのアカウントにつき製品ごとに1回、開始から14日間利用できます。期間を延ばす目的で複数のアカウントを作ることは禁止します。
5. 禁止事項
- 製品、インストーラー、ライセンスの複製・再配布・転売・貸与・共有
- ライセンスや体験版の仕組みの回避・改変、またはそのための手段の配布
- 法令で認められる場合を除く、製品の逆コンパイル・逆アセンブル・リバースエンジニアリング
- 本サービスへの不正アクセスや、運営を妨げる行為
- 他人の情報を使った登録や購入、その他法令や公序良俗に反する行為
6. 返金とキャンセル
製品はデジタルコンテンツのため、購入後の返金・キャンセルは原則としてお受けしていません。購入前に体験版で動作をご確認ください。ただし、法令で認められる場合、製品の重大な不具合により使用できず当方が解決できない場合、または販売代行事業者（Stripe）の規定により返金が行われる場合は、この限りではありません。返金された製品のライセンスは無効になります。
7. 保証の否認
製品は、提供時の状態で提供します。当方は、製品が特定の目的に適合すること、すべての環境・ホストアプリケーションで動作すること、不具合がないことを保証しません。動作環境は各製品のページとマニュアルをご確認ください。作業中のプロジェクトは、こまめに保存・バックアップしてください。
8. 責任の制限
本サービスまたは製品の利用に関して利用者に生じた損害について、当方が責任を負う場合でも、その範囲は直接かつ通常の損害に限り、その額は当該製品の購入代金を上限とします。ただし、当方の故意または重大な過失による場合は、この限りではありません。
9. 規約違反への対応
利用者が本規約に違反した場合、当方は事前の通知なく、ライセンスの無効化、アカウントの利用停止その他必要な措置をとることがあります。この場合、支払い済みの代金は返金しません。
10. 本サービスの変更・終了
当方は、本サービスの内容を変更し、または提供を終了することがあります。会員サイトの提供を終了する場合は、事前にお知らせし、購入済みの製品を引き続き使用できるよう努めます。
11. 本規約の変更
当方は、必要に応じて本規約を変更することがあります。重要な変更は、本サービス上でお知らせします。変更後の規約は、このページに掲載した時点から適用されます。
12. 準拠法と管轄
本規約は日本法に準拠します。本サービスに関して紛争が生じた場合は、名古屋地方裁判所を第一審の専属的合意管轄裁判所とします。

These Terms of Use ("Terms") set out the conditions for using the official site (prizlune.com), the member site My Prizlune (account.prizlune.com) and the software products (together, the "Service") provided by Prizlune ("we"). By using the Service or buying a product, you agree to these Terms.
1. Account
- You need a Prizlune account to buy products, activate licenses and use trials.
- Your account is for you alone. You may not lend, transfer or share it.
- Register an accurate email address that you can receive. You are responsible for keeping your sign-in details safe.
2. Purchases and payment
- Prices are in US dollars and shown before tax. Depending on your country, tax may be added at checkout.
- Payments are made through Stripe's payment and reselling service. Depending on your country, Link, LLC, a Stripe affiliate, acts as the seller, and its terms also apply.
- Products you buy are added to the account you used to buy them.
3. License
- We grant each buyer a non-exclusive, non-transferable right to use the product on their own computers. We keep the copyright and all other rights in the product; what is sold is the right to use it.
- You activate the product with your account using ACTIVATE in the plugin. A license is issued for each computer.
- If sharing is suspected, for example many activations in a short period, we may contact you or limit activations.
- You may freely use music and audio you create with the product, commercially or otherwise.
4. Trials
Each account can use a trial once per product, for 14 days from the start. Creating multiple accounts to extend a trial is not allowed.
5. Prohibited conduct
- Copying, redistributing, reselling, lending or sharing products, installers or licenses
- Circumventing or modifying the license or trial mechanisms, or distributing means to do so
- Decompiling, disassembling or reverse engineering products, except where the law allows it
- Unauthorized access to the Service or interfering with its operation
- Registering or buying with another person's information, or any other unlawful conduct
6. Refunds and cancellations
Because products are digital content, we generally do not offer refunds or cancellations after purchase. Please check that the product works for you with the trial before buying. This does not apply where the law grants a refund, where a serious defect prevents use and we cannot fix it, or where a refund is made under the rules of our reseller (Stripe). The license for a refunded product becomes invalid.
7. Disclaimer
Products are provided as is. We do not warrant that a product is fit for a particular purpose, works in every environment or host application, or is free of defects. Please see each product page and manual for system requirements, and save and back up your projects regularly.
8. Limitation of liability
Where we are liable for damage arising from use of the Service or a product, our liability is limited to direct and ordinary damage, up to the amount you paid for that product. This limit does not apply to damage caused by our intent or gross negligence.
9. Breach of these Terms
If you breach these Terms, we may invalidate your licenses, suspend your account or take other necessary measures without notice. Amounts already paid are not refunded in that case.
10. Changes to and end of the Service
We may change the Service or stop providing it. If we stop providing the member site, we will give notice in advance and make efforts to let you keep using the products you bought.
11. Changes to these Terms
We may revise these Terms when necessary. We will announce important changes on the Service. Revised Terms apply from the time they are posted on this page.
12. Governing law and jurisdiction
These Terms are governed by the laws of Japan. The Nagoya District Court has exclusive jurisdiction in the first instance over any dispute relating to the Service. Nothing in these Terms limits rights you have under the mandatory consumer laws of your country of residence.
